    AppScatter to Buy Priori for GBP13.5m, Funded via Placing

    AppScatter, a London tech firm whose software allows developers to market apps across a range of stores, proposes to buy Berlin-based app intelligence platform provider Priori Data for a total consideration of GBP13.5m, according to statement.

    AppScatter to Raise GBP15M for Acquisition; 2017 Trading in Line

    appScatter Group PLC (APPS.LN) said Friday that it plans to raise 15 million pounds ($21.1 million) which it will mainly use to buy a German company, and that its 2017 trading performance was in line with market expectations.

    The business-to-business software-platform company has agreed to buy mobile app-intelligence provider Priori Data GmbH for a total consideration of GBP13.5 million, in both cash and shares.

    The London-listed company will pay GBP9.45 million in cash and GBP4.05 million by issuing about 5.8 million new ordinary shares at 70 pence each, it said.

    appScatter said that the acquisition will help it create a source of app data intelligence drawing on 299 billion downloads across five million apps in 55 categories, as well as six billion devices across 252 territories.

    The company expects to report 2017 revenue of approximately GBP1.9 million and a pretax loss before interest of approximately GBP6.5 million, it said. As of March 23, the company had 14,954 registered users and trading so far in 2018 is in line with its expectations, it said.

    AppScatter Group PLC (LON:APPS) is to strengthen its app monitoring service with the acquisition of German firm Priori Data for £13.5mln.

    Berlin-based Priori runs an app data intelligence operation and combined with appscatter’s existing service will enable the performance of millions of apps and billions of devices to be analysed, said Philip Marcella, chief executive.

    “The acquisition would mark a major step forward in our quest to become the go-to source of information in the app ecosystem, in particular given the scarcity of companies with the quantity of data held by Priori”

    Combining the data from both companies would enable brands, app publishers, advertising agencies and mobile networks to conduct more targeted demographic campaigns, he added.

    “Priori publishers and clients will benefit from wider distribution of their mobile apps across 75 app stores and appScatter clients will benefit from new services including keyword (ASO), app and market intelligence.”

    Appscatter will raise £15mln through a placing at 70p to help pay for Priori, with £9.45mln of the consideration in cash and £4.05mln in shares.

    A majority of existing investors have already indicated a willingness to subscribe, it added.

    In a trading update that accompanied the acquisition, appscatter said development was on track with revenues of approximately £1.9mln in 2017 and a loss before interest and tax of approximately £6.5mln.

    This year, 2018, had started well said the statement with numerous potential partnerships under discussion, which if concluded, would further boost revenues.

    Priori's turnover in 2017 was €1.06mln with underlying losses of €410,000.

    AppScatter to become ‘app data intelligence leader’ after £13.5m acquisition

    App distribution and management company appScatter has agreed to acquire Priori Data in an effort to become a leader in app data intelligence. The AIM-listed group will pay a total of £13.5m for the acquisition, of which £9.45m will be in cash and the remainder in new shares of 70 pence per share.

    AppScatter says the combination will create one of the world’s largest sources of mobile data intelligence and the most comprehensive app management platform available, including distribution, intelligence, analytics and marketplace features under one roof.

    The deal comes in response to rising customer demand for app data, user demographics and insights, appScatter said in a blog post.

    AppScatter’s enlarged app insight capability will draw data from 299 billion downloads across five million apps in 55 categories, as well as six billion devices across 252 territories. Using this dataset, it will utilise Priori Data’s machine learning data intelligence software to provide clients with a range of app intelligence across keywords, apps, markets, usage and audience.

    Founded in 2013, Priori Data is a B2B software-as-a-service (SaaS) platform provider of mobile app intelligence based in Berlin, with proprietary data intelligence software and 16 full-time employees with expertise in monetising app market data, including data scientists, engineers and sales.
